AURA SOLUTION COMPANY LIMITED SUSPENDS MR. KOUAKOU ADOU ANTOINE

FOR IMMEDIATE RELEASE

6 September 2026

Immediate Suspension and Withdrawal of Authority

Aura Solution Company Limited (“Aura”) hereby announces the immediate suspension of Mr. Kouakou Adou Antoine, formerly serving as President of Aura Congo, with effect from 6 September 2026.

The suspension applies to all positions, functions, responsibilities, authorities, mandates, representations and permissions previously granted to Mr. Kouakou Adou Antoine by Aura.

As of the effective date of this notice, Mr. Kouakou Adou Antoine is no longer authorised to act, speak, negotiate, communicate, represent, commit, sign, approve, undertake, promise, receive, transfer, borrow, lend, invest, donate, acquire, dispose of assets, or otherwise conduct any business or transaction in the name of Aura Solution Company Limited, Aura Congo, or any other Aura-affiliated entity.

This withdrawal of authority is complete and applies to all matters connected with Aura, whether commercial, financial, investment-related, operational, institutional or otherwise. Any authority previously granted to Mr. Kouakou Adou Antoine is considered withdrawn as of the effective date unless Aura subsequently provides a new and specific written authorisation.

Reason for Suspension

The suspension arises from family and personal affairs that have materially affected Mr. Kouakou Adou Antoine's ability to exercise the level of judgment, independence and institutional responsibility required of a senior representative of Aura.

Aura respects the privacy of personal and family matters and does not intend to disclose private family circumstances. However, where personal or family affairs begin to interfere with the responsibilities of an executive entrusted with significant institutional authority, Aura must act to protect the interests of the company and its long-term commitments. Aura has provided several warnings and opportunities for Mr. Kouakou Adou Antoine to separate his personal and family circumstances from his responsibilities to Aura and to maintain the standards expected of his position.

Those warnings were not sufficiently respected.

Aura has therefore determined that it can no longer permit personal or family circumstances to influence decisions connected with Aura's business, investments, commitments or strategic objectives.The company must ensure that all decisions affecting Aura are made with the appropriate level of professional judgment, independence and institutional responsibility. Personal circumstances cannot be allowed to interfere with or compromise those obligations.

For this reason, Aura has determined that the immediate suspension of Mr. Kouakou Adou Antoine and the complete withdrawal of his authority are necessary to protect the company's interests and ensure the continued proper management of its responsibilities and commitments.

The Future of Congo and Africa Comes First

Aura's proposed commitment to the Republic of Congo and Africa represents a long-term institutional vision, requiring exceptional judgment, discipline and responsibility.Such a programme cannot be placed at risk because of an individual's personal or family circumstances.Aura was prepared to consider a substantial commitment to the future of Congo and Africa because of its belief in the region's potential and its desire to contribute to long-term economic development.

The future of Congo and Africa is larger than any individual, and Aura cannot risk substantial institutional capital where personal and family considerations are taking precedence over the responsibilities attached to the position.

Aura therefore considers the withdrawal of Mr. Kouakou Adou Antoine's authority necessary to protect its capital, reputation, strategic objectives and institutional interests.

Complete Withdrawal of Authority

Aura has withdrawn all authority and mandates previously granted to Mr. Kouakou Adou Antoine.

Accordingly, he is not authorised to:

• represent Aura Solution Company Limited or Aura Congo in any capacity;

• represent himself as an authorised officer, executive, president, representative, agent or mandate holder of Aura;

• enter into or propose any business agreement on behalf of Aura;

• negotiate or approve any investment on behalf of Aura;

• solicit, receive or arrange investments in the name of Aura;

• request or obtain any loan, credit facility, financing or financial accommodation in the name of Aura;

• provide guarantees, commitments, undertakings or assurances on behalf of Aura;

• make any proposal involving Aura funds, assets, investments or business interests;

• make or promise any gift, donation, grant, contribution or other transfer on behalf of Aura;

• enter into any government, civilian, private-sector or institutional arrangement on behalf of Aura;

• purchase, sell, transfer, pledge or otherwise deal with assets belonging to Aura;

• open, operate or control any account, facility or financial arrangement purportedly for Aura;

• issue letters, contracts, memoranda, guarantees, commitments or other documents purporting to bind Aura;

• appoint or instruct third parties on behalf of Aura;

• collect money, investments, deposits, fees or other funds purportedly for Aura;

• make statements or representations concerning Aura's financial commitments or investment programmes; or

• undertake any other act or transaction whatsoever that could create an obligation, liability, commitment or responsibility for Aura.

No Responsibility for Subsequent Acts

Aura Solution Company Limited wishes to make its position unequivocally clear.

Aura shall not be responsible, liable or accountable for any act, transaction, commitment, undertaking, debt, loan, financing arrangement, investment, business proposal, contract, promise, gift, donation, transfer, representation or other activity undertaken by Mr. Kouakou Adou Antoine after the effective date of his suspension.

This applies regardless of whether such activity is described as governmental, civilian, commercial, private, financial, investment-related, charitable, institutional, diplomatic, contractual or otherwise.

Any person, company, government institution, financial institution, investor, lender, donor, business partner or other third party dealing with Mr. Kouakou Adou Antoine is therefore advised that he has no authority to create any obligation or commitment on behalf of Aura.

Loans, Financing and Financial Commitments

Mr. Kouakou Adou Antoine has no authority whatsoever to request, negotiate, obtain, guarantee, approve or arrange any loan, credit facility, financing, debt facility or other financial commitment in the name of Aura.

Aura will not recognise or accept responsibility for any such arrangement entered into, proposed or represented by him without a separate and expressly authorised written instrument issued by Aura Solution Company Limited through its duly authorised corporate representatives.

Investments and Business Proposals

Mr. Kouakou Adou Antoine is not authorised to solicit, negotiate, accept, structure, approve or make any investment or business proposal on behalf of Aura.Any investment opportunity, acquisition proposal, financing proposal, partnership, joint venture, commercial arrangement or other business proposition presented by him as being authorised by Aura should be treated as unauthorised unless independently confirmed in writing by Aura Solution Company Limited.

Gifts, Donations and Other Transfers

Mr. Kouakou Adou Antoine has no authority to make or promise any gift, donation, grant, contribution, financial assistance, asset transfer or other benefit on behalf of Aura.No person or organisation should rely upon any representation by him that Aura has agreed to provide funds, assets, donations, gifts, grants or other forms of support unless such commitment has been formally confirmed in writing by Aura Solution Company Limited.

Third-Party Reliance

The mere presentation of previous Aura correspondence, documents, business cards, titles, communications or historical authority shall not constitute evidence of current authority.Any authority previously granted to Mr. Kouakou Adou Antoine is withdrawn as of 6 September 2026.

Where confirmation is required, third parties should seek direct written confirmation from Aura Solution Company Limited through its official corporate channels.

Aura's Position

Aura Solution Company Limited’s position is clear, final and unequivocal.

With effect from 6 September 2026, Mr. Kouakou Adou Antoine is no longer authorised to represent, act for, speak on behalf of, negotiate for, or otherwise hold himself out as a representative, officer, agent, adviser, intermediary or authorised person of Aura Solution Company Limited, Aura Congo, or any other Aura-affiliated entity, unless and until Aura issues a new and specific written authorisation.

Accordingly, Mr. Kouakou Adou Antoine shall have no authority whatsoever to bind Aura, whether directly or indirectly, in relation to any commercial, financial, investment, governmental, institutional, contractual, operational or personal matter. Aura expressly rejects and disclaims responsibility for any act, statement, representation, communication, agreement, transaction, commitment or undertaking made or purported to be made by Mr. Kouakou Adou Antoine after the effective date of this suspension without specific written authority from Aura.

This includes, without limitation, any:

• contract, agreement or memorandum of understanding;

• business proposal or commercial commitment;

• financial transaction or payment instruction;

• loan, credit facility, borrowing or financing arrangement;

• investment or investment commitment;

• acquisition, sale or transfer of assets;

• fundraising or capital-raising activity;

• representation to a bank, financial institution or investor;

• representation to a government, ministry, public authority or regulatory body;

• commitment involving any Aura company, asset or business interest;

• employment, consultancy or agency arrangement;

• promise, guarantee or financial undertaking;

• gift, donation, sponsorship or charitable commitment;

• use of Aura’s name, logo, documents, correspondence or corporate identity;

• representation concerning Aura’s clients, investors, partners or business relationships; or

• any other obligation purportedly undertaken in Aura’s name.

Any person or organisation dealing with Mr. Kouakou Adou Antoine after the effective date of this announcement does so without authority from Aura, unless that authority has been expressly confirmed in writing by an authorised representative of Aura Solution Company Limited.Aura therefore strongly advises all clients, investors, financial institutions, governments, business partners, advisers, suppliers and other stakeholders to treat any communication or undertaking made by Mr. Kouakou Adou Antoine after 6 September 2026 as unauthorised unless accompanied by a valid, specific and verifiable written authorisation issued by Aura.

Protection of Aura's Interests

Aura Solution Company Limited remains fully committed to protecting its corporate identity, assets, commercial interests, confidential information, client relationships, investor relationships and institutional reputation.Aura will not accept, recognise or assume any liability arising from an unauthorised action undertaken by Mr. Kouakou Adou Antoine after his authority has been withdrawn.

Aura further reserves the right, without further notice, to take any action it considers necessary or appropriate to protect its interests and to prevent the unauthorised use of its name, corporate identity, documents, intellectual property, business relationships or other assets.

Such action may include communicating directly with affected clients, investors, financial institutions, governments, counterparties and business partners to clarify Aura’s official position and to distinguish authorised Aura activities from any unauthorised activity.

Aura also reserves all rights in relation to any loss, damage, liability, reputational harm, financial exposure or other consequence resulting from an unauthorised representation or undertaking made in Aura’s name.

No Implied Authority

For the avoidance of doubt, no previous relationship, position, title, correspondence, meeting, introduction, business discussion or historical authority shall be interpreted as continuing authority after 6 September 2026.

Mr. Kouakou Adou Antoine may not rely upon any previous association with Aura as evidence of continuing authority.

Likewise, the fact that a third party may have previously communicated with, worked with, negotiated with or received information from Mr. Kouakou Adou Antoine shall not constitute evidence that he continues to have authority to represent Aura.

Any authority previously granted to him is withdrawn to the extent stated in this announcement.Only a new and specific written authorisation issued by Aura Solution Company Limited may restore or establish authority following the effective date.

Effective Date

The suspension and complete withdrawal of authority are effective immediately on 6 September 2026.From that date forward, Mr. Kouakou Adou Antoine shall have no authority to represent, act for, negotiate on behalf of, communicate as a representative of, or otherwise commit Aura Solution Company Limited, Aura Congo, or any Aura-affiliated entity in any capacity whatsoever. This withdrawal remains effective unless Aura subsequently issues a new and specific written authorisation expressly granting him authority to undertake a particular act or function.No verbal statement, informal communication, personal assurance or third-party representation shall be considered sufficient to restore such authority.

Official Position of Aura

This announcement constitutes the official position of Aura Solution Company Limited concerning the status and authority of Mr. Kouakou Adou Antoine. All clients, investors, financial institutions, governments, business partners, counterparties and other stakeholders are requested to rely only upon communications issued through officially authorised Aura channels and representatives.

Aura Solution Company Limited will continue to protect the integrity of its name, its businesses, its assets and its relationships with stakeholders worldwide.

Effective immediately: 6 September 2026.
