AURA ANNOUNCES ADVANCED AFRICAN INVESTMENT ENGAGEMENT, EXPANDED COUNTRY PARTNERSHIPS AND RECONSIDERATION OF ITS INVESTMENT POSITION IN THE REPUBLIC OF CONGO

A Strategic Continental Investment Framework

Aura Solution Company Limited / Aura SA (“Aura”) announces the conclusion of a significant phase of high-level engagement with African governments, institutions, strategic partners, and prospective investment counterparts concerning Aura's long-term investment strategy across the African continent.The discussions have brought together representatives and stakeholders from a substantial number of African countries interested in establishing structured and long-term relationships with Aura.During these engagements, a number of participating countries have formally expressed their interest in welcoming Aura investment and in developing mutually beneficial investment frameworks with the Group. Several parties have indicated their willingness to proceed, subject to the completion of applicable governmental, institutional, regulatory, legal, and commercial procedures, through structures including Joint Venture Agreements, Memoranda of Understanding, strategic investment agreements, development partnerships, and other appropriate cooperation arrangements.


Aura welcomes the confidence demonstrated by these countries and considers the discussions an important development in the Group's continuing African strategy.


The objective is not simply to undertake isolated investments, but to establish long-term country-level partnerships capable of supporting major projects, economic development, infrastructure, enterprise, investment, employment, technology, and broader economic cooperation.

A New Phase of Engagement with Africa

Aura's current African program represents a significant expansion of the Group's engagement with the continent.The Group is presently undertaking a comprehensive country-by-country assessment and finalization process covering prospective investments, projects, strategic sectors, investment structures, local partnerships, implementation mechanisms, and governance arrangements.Aura's approach is based on the principle that each African country possesses its own economic priorities, national development objectives, investment requirements, institutional framework, and strategic opportunities.


Accordingly, Aura does not intend to impose a uniform investment model across the continent.Rather, the Group will work with each participating country and its designated institutions to determine an appropriate investment framework reflecting the country's own priorities and requirements.


This may include:

  • Direct investment;

  • Joint Venture Agreements;

  • Memoranda of Understanding;

  • Strategic investment partnerships;

  • Infrastructure development;

  • Industrial and manufacturing projects;

  • Energy and natural-resource-related investments;

  • Financial and investment platforms;

  • Technology and digital infrastructure;

  • Transportation and logistics;

  • Real estate and urban development;

  • Healthcare and education initiatives;

  • Hospitality and tourism;

  • Agriculture and food security;

  • Telecommunications and connectivity;

  • Trade and regional commerce; and

  • Other strategic sectors identified jointly with participating countries.

The final scope of each country's program will be determined through the respective country-level engagement process.

Reconsideration of Aura's Investment Position in the Republic of Congo

In light of the significant developments in Aura's broader African engagement, the Group confirms that it is reconsidering its previously announced suspension of investment activities in the Republic of Congo.Aura considers this matter within the broader strategic context of its African investment program and recognizes the importance of maintaining constructive, professional, and long-term engagement with the Republic of Congo.The Republic of Congo has particular strategic significance to Aura because it is intended to serve as the location of the Group's Africa Head Office, from which the continental investment program will be coordinated and managed.


Aura's reconsideration of its position does not constitute, by itself, the completion of any particular investment transaction. Any specific investment, project, financing arrangement, acquisition, partnership, or contractual commitment remains subject to the applicable approvals, negotiations, due diligence, agreements, and legal and regulatory requirements.Nevertheless, Aura considers the Republic of Congo an important component of its broader African strategy and will continue to evaluate opportunities for meaningful and long-term investment in the country.

Completion of the African Country Engagement Framework

Aura is now entering the final stage of its current country-level engagement process.

The Group's objective is to complete at least 99% of its African country engagement and preliminary investment framework during August 2026.

This process is expected to include the completion or substantial advancement of discussions with participating countries concerning:

1. Country participation : Identification of the African countries in which Aura intends to establish or expand investment activities.

2. Project identification : Identification of the principal projects and investment opportunities proposed for each country.

3. Investment allocation : Determination of the proposed or indicative investment amount associated with each country and, where appropriate, each individual project.

4. Partnership structures : Determination of whether the relevant relationship will be structured through a Joint Venture Agreement, MOU, direct investment, strategic partnership, or another appropriate arrangement.

5. Institutional framework : Identification of the relevant governmental institutions, local partners, private-sector participants, and other stakeholders involved in each investment program.

6. Implementation framework : Development of the proposed structure through which investments will be executed, managed, monitored, and developed.

7. Long-term management : Establishment of appropriate governance and management arrangements for projects following their implementation.

The completion of this process is intended to provide Aura with a comprehensive continental investment framework before the formal September announcement.


Aura's Stated African Investment Program

Aura currently reports that its African investment program has reached a stated aggregate value of approximately US$15 trillion across 37 African countries.This figure represents Aura's current stated investment program and/or investment pipeline and should not be interpreted as meaning that US$15 trillion has already been fully deployed, contractually committed, or transferred.The final value of the investment program will depend upon the completion of the respective country-level negotiations, project assessments, investment structures, financing arrangements, governmental approvals, contractual documentation, and other applicable requirements.


Aura nevertheless regards the scale of the program as an important indication of the Group's intended long-term commitment to Africa.The Group's objective is to develop a diversified investment platform spanning multiple African economies rather than concentrating its activities within a limited number of markets.

September 2026 — Formal Country-by-Country Disclosure

Aura intends to make its principal formal announcement during the first week of September 2026.The September announcement is intended to provide substantially greater clarity regarding Aura's African investment program.Subject to the completion of the relevant discussions and approvals, Aura expects the announcement to identify:


Country by Country

The African countries in which Aura proposes to undertake investment or establish formal strategic investment relationships.


Project by Project

The principal projects, sectors, assets, developments, or investment programs associated with each participating country.


Amount by Amount

The proposed or finalized investment amount associated with each country and, where sufficiently determined, each major project.


Agreement by Agreement

The relevant investment structure, including where applicable:

  • Joint Venture Agreements;

  • Memoranda of Understanding;

  • Strategic Partnership Agreements;

  • Investment Agreements;

  • Development Agreements; and

  • Other contractual or institutional arrangements.


Management by Management

The proposed framework through which Aura's investments will be held, coordinated, implemented, supervised, and managed.The September announcement will therefore seek to provide a clear country-by-country, project-by-project, and amount-by-amount presentation of Aura's next phase of African investment.

Africa Head Office — Republic of Congo

Aura confirms its intention for the Africa Head Office in the Republic of Congo to serve as the principal regional platform for the coordination and management of its African investment activities.

The Africa Head Office is intended to provide a central platform for:

  • Regional investment coordination;

  • Country-level relationship management;

  • Project oversight;

  • Strategic partnership development;

  • Investment monitoring;

  • Institutional engagement;

  • Regional administration;

  • Project implementation coordination; and

  • Long-term management of Aura's African investment portfolio.

Aura considers the establishment and strengthening of its African headquarters in the Republic of Congo to be an important component of its commitment to maintaining a substantial and enduring presence on the continent.


Respect for Sovereignty and National Development Priorities

Aura emphasizes that its African investment strategy is founded upon partnership, mutual respect, institutional cooperation, and recognition of the sovereignty of each participating African state.Aura's intention is to work alongside governments and local institutions rather than replace or interfere with national development structures.


Every proposed investment will therefore be considered within the applicable national framework of the relevant country and in accordance with the requirements established by the appropriate authorities.


The Group recognizes that sustainable investment requires more than capital.

A Long-Term African Partnership Platform

Aura views Africa not as a collection of isolated markets, but as a continent of diverse economies with substantial opportunities for long-term investment and development.The Group's strategy is therefore intended to combine country-specific investment with broader regional cooperation.Where appropriate and where supported by the relevant national frameworks, Aura will explore opportunities that can connect individual country investments to wider African economic activity, including regional trade, infrastructure, logistics, technology, finance, industrial development, and cross-border commerce.


This approach is intended to enable individual country investments to operate independently while also contributing to a broader and more interconnected African investment platform.


August: Finalization

August 2026 will remain a critical month for Aura.During the month, Aura will continue its discussions with participating African countries and strategic partners with the objective of completing at least 99% of the current African country engagement framework.The Group will use this period to finalize the principal elements of the investment program and to determine which proposed projects and country-level arrangements are sufficiently advanced for formal disclosure.Aura recognizes that some discussions may require additional time following September and that not every proposal will necessarily reach final contractual completion simultaneously.


The September announcement will therefore distinguish, where necessary, between investments that are finalized, formally agreed, under definitive documentation, under MOU, under Joint Venture negotiation, or otherwise under active consideration.

September: Formal Announcement

The first week of September 2026 is expected to mark the next major public milestone for Aura's African strategy.At that time, Aura intends to present a consolidated overview of the African investment framework, including the countries concerned and the corresponding investment values to the extent finalized.


The announcement is intended to provide clarity regarding:

WHO — the participating countries and strategic partners;

WHERE — the countries and locations of the proposed investments;

WHAT — the projects and sectors;

HOW MUCH — the proposed or finalized investment amount;

HOW — the investment and partnership structure;

WHEN — the expected implementation timetable; and

WHO WILL MANAGE — the relevant Aura regional and country-level management framework.


Aura believes that this structured disclosure will provide governments, institutions, strategic partners, investors, and the wider public with a clearer understanding of the Group's intended role in Africa.

The forthcoming September announcement is therefore expected to constitute a significant milestone in the development of Aura's African platform.

The US$15 trillion figure represents Aura's currently stated African investment program/pipeline and is not, by itself, a representation that such amount has already been deployed or irrevocably committed.


The Group expects the first week of September 2026 to provide the principal formal disclosure of the countries, projects, and corresponding investment amounts that have reached the appropriate stage for announcement.
